Please read these Terms of Service ("Terms") carefully before using the ResiReviews website (the "Service") operated by Pharmacy Edtech LLC ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
1. User Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
2. Content
A. Your Content and Responsibility
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, or other material ("Content"). You are solely responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.
By posting Content, you represent and warrant that:
- The Content is your own (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms.
- The posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights (including non-disclosure agreements), or any other rights of any person.
- The Content represents your honest, subjective opinion and personal experience, and is not intended to represent absolute statements of fact on behalf of Pharmacy Edtech LLC.
B. License Grant
By posting Content to the Service, you grant Pharmacy Edtech LLC the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms.
C. Content Guidelines and Prohibitions
To maintain a professional environment, you agree not to post Content that:
- Is knowingly false, misleading, or deceptive.
- Contains HIPAA-protected information, sensitive patient data, or trade secrets of a clinical site.
- Identifies non-leadership staff members (e.g., staff pharmacists, technicians, or patients) by full name or specific identifying characteristics.
- Is defamatory, obscene, vulgar, or promotes hatred, harassment, or harm against any individual or group.
- Violates any third-party's rights, including intellectual property or privacy rights.
D. Monitoring and Section 230 Compliance
Pharmacy Edtech LLC acts as an interactive computer service provider under 47 U.S.C. § 230. While we reserve the right, but not the obligation, to monitor, validate, and edit or remove any Content provided by users, we do not assume the role of "publisher" or "author" of such Content.
We may, at our sole discretion, reject or remove Content that we determine violates these Terms or is otherwise harmful to the Service. Our decision to validate or host a review does not constitute an endorsement of the accuracy or truthfulness of that Content.
3. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Pharmacy Edtech LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
4. Links to Other Web Sites
Our Service may contain links to third-party web sites or services that are not owned or controlled by Pharmacy Edtech LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.
5. Limitation of Liability
In no event shall Pharmacy Edtech LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.
6. Indemnification
You agree to defend, indemnify, and hold harmless Pharmacy Edtech LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- a) Your use and access of the Service, including any data or content transmitted or received by you;
- b) Your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above;
- c) Your violation of any third-party right, including without limitation any right of privacy, publicity rights, or intellectual property rights;
- d) Your violation of any applicable law, rule, or regulation;
- e) Any claim or damages that arise as a result of any of your Content or any that is submitted via your account.
7. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Pharmacy Edtech LLC does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
9. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
10. Program Responses
If you are responding on behalf of a pharmacy residency program or healthcare institution ("Program"):
- Authority: You represent and warrant that you have the legal authority to bind the Program to these Terms.
- Professionalism: You agree to maintain a professional tone and refrain from "doxing," naming specific residents, or disclosing confidential personnel files. The Program agrees not to use the Service to identify or retaliate against anonymous reviewers.
- HIPAA Compliance: You acknowledge that the Program is a "Covered Entity" under HIPAA and agree that your response will not contain Protected Health Information (PHI).
- Estoppel/Waiver: By posting a response, the Program agrees that its primary remedy for a disputed review is the right of rebuttal provided by the Service, and it waives the right to seek damages against Pharmacy Edtech LLC for user-generated content, provided the Service complies with its own takedown policies.
